Terms of Service

1. Purpose

Quadrilex, a company in the process of registration managed by Mr. Alan Bretelle (hereinafter "Quadrilex"), publishes a multiplayer economic simulation game accessible at investycoon.com, designed to teach economics and investment through interactive simulations (hereinafter "Investycoon").

These Terms of Service (hereinafter the "Terms") govern your use of the Platform and the Services. Please read them carefully before using the Platform.

By registering on the Platform, you fully and unconditionally accept these Terms.

2. Definitions

In these Terms:

"Terms" means these Terms of Service;
"Administrator" means a Customer who subscribes to a Private Server and administers it;
"Company" means a fictitious company managed by one or more Members within a Server;
"Customer" means any Member who has subscribed to a Private Server;
"Account" means the account created at registration, giving a Member access to the Platform's Services;
"Investycoon" means the multiplayer economic simulation game published by Quadrilex and accessible via the Platform;
"Ket" means the fictitious currency used in Transactions between Members within a Server;
"Member" means any individual who has created an Account on the Platform;
"Platform" means all web and mobile interfaces providing access to Investycoon's Services;
"Private Server" means a subscription giving access to a private Server hosted by Quadrilex, allowing its administrator to create and manage a dedicated Investycoon game world;
"Server" means an Investycoon game instance, public or private, hosting an independent economy, its Companies and its Members;
"Services" means all features and services offered by Quadrilex via the Platform;
"Transactions" means all fictitious operations available on the Platform (purchases, sales, Ket transfers, etc.);
"User" means any individual browsing the Platform, whether a Member or anonymous visitor.

3. Access to the Platform

Registration requirements

Use of the Platform is reserved for individuals aged 13 or over. By registering, you declare and warrant that you are 13 years of age or older.

Under GDPR Article 8, the minimum age for independent consent to data processing varies between EU member states (between 13 and 16). Under French law, this threshold is set at 15. Users aged 13 to 14 must therefore obtain prior consent from a parent or legal guardian before creating an Account. By registering, users under 15 certify that such consent has been obtained.

Quadrilex does not target children under the age of 13. If Quadrilex becomes aware that an Account belongs to a user under 13, that Account will be deleted without delay.

Some Servers are restricted to adult users (18 and over). Access to these Servers requires a date of birth declaration at registration. By accessing such a Server, you certify that you are 18 years of age or older.

Account creation

Without registration, it is possible to consult certain public information on the Platform. To create an Account and access all Services, you must complete the registration form with accurate and truthful information.

At registration, you must have read and accepted these Terms and the Privacy Policy.

You agree to keep your password confidential and to notify Quadrilex immediately in the event of loss, theft, or fraudulent use of your Account. You are solely responsible for any actions carried out from your Account until such notification.

You agree not to create multiple Accounts under your own identity or under the identity of a third party.

4. Use of the Services

General rules

As a Member, you may carry out all Transactions offered by the Platform, within the limits set by Quadrilex and specified on the Platform.

It is strictly prohibited to use, attempt to use, or facilitate any form of hacking, including unauthorised access to systems, other Members' Accounts, data, or any information related to the Platform. Any such activity constitutes a violation of these Terms and may result in criminal prosecution under applicable law.

The use of bots, automated scripts, or any other means designed to simulate human activity or disrupt the normal operation of the Platform is strictly prohibited. Any Member identified as using such methods will be immediately excluded from the Platform.

Messaging and communications

Members may communicate with each other via the messaging tools integrated into the Platform. It is strictly prohibited to post any content including:

• pornographic or sexually explicit content;
• harassment, threats, or intimidating messages directed at a Member;
• racist, discriminatory, homophobic, or hate-inciting content;
• insults or defamation;
• personal data belonging to third parties;
• unsolicited commercial solicitation or advertising;
• promotion of illegal practices;
• identity theft or impersonation.

Such content may be moderated and, depending on severity, may result in:

• a reminder of the rules;
• a temporary ban;
• a permanent ban;
• a report to the competent authorities;
• legal proceedings.

Companies

As a Member, you may create and publish a fictitious Company on a Server, providing information about its purpose, capital, number of shares, shareholder policy, etc.

A Company's public information (name, description, type, news, shareholder list) is visible to all Users, including anonymous visitors.

It is prohibited to create a Company whose name or description infringes a trademark or registered name. Quadrilex reserves the right to remove, without notice, any Company that does not comply with these Terms or that is harmful to its image. A Ket refund is not guaranteed and will be assessed on a case-by-case basis.

Deceptive commercial practices are prohibited under applicable consumer protection law and may expose their authors to civil or criminal liability.

Land Market

An interactive map allows all Users to view the nature of plots available on a Server. As the owner of a plot, you control the information visible to other Users.

Quadrilex advises you not to choose a username containing personally identifiable information. If you acquire a plot near your home address using a username that reveals your identity, third parties could infer your location. Quadrilex accepts no liability for the consequences of such an oversight.

5. Private Server

Description and subscription

Quadrilex offers Private Server rentals, allowing Members to create and manage a dedicated Investycoon game world. The features and pricing of available Private Servers are specified on the Platform.

Subscribing to a Private Server is open to any adult Member or, for minors, to their legal representative.

Billing and automatic renewal

The Private Server is billed monthly at the rate in force at the time of subscription. Payment is processed by Stripe Inc.; Quadrilex does not store any banking data.

The Private Server contract is entered into for a period of one month and is automatically renewed month to month at expiry, unless cancelled under the conditions set out below.

Waiver of withdrawal right

In accordance with Article 16(m) of EU Directive 2011/83/EU on consumer rights, you expressly acknowledge that the provision of the Private Server begins immediately after your order is confirmed and expressly waive your 14-day withdrawal right that would otherwise apply.

This waiver is confirmed by the checkbox present at the time of subscription.

Cancellation

You may cancel your Private Server at any time, at no cost and without notice, from your account area on the Platform or by contacting Quadrilex at contact@quadrilex.com. Cancellation takes effect at the end of the current monthly period; no pro-rata refund will be issued.

Following cancellation, the Server and all associated data (Companies, Server member Accounts, Transaction history) will be deleted within 30 days. This action is irreversible.

Role and obligations of the Administrator

By subscribing to a Private Server, the Customer takes on the role of Administrator of that Server. This role grants extended configuration and management rights, as well as the specific responsibilities described below.

The Administrator may configure their Server's settings (game rules, access restrictions, name, description, etc.) and define rules specific to their community, within the limits of these Terms. Such additional rules may be stricter than these Terms but may not contradict or relax them in any way.

The Administrator is responsible for moderating content published on their Server. They have the tools necessary to warn, suspend, or permanently exclude a Member from their Server. Quadrilex nevertheless reserves the right to intervene directly on any Server in the event of a serious breach of these Terms, regardless of the Administrator's actions.

In the course of administering their Server, the Customer has access to the usernames and display names of Members registered on that Server. They do not have access to Members' email addresses or any other personal data. This information is strictly reserved for Server management purposes and may not be used for any other purpose or shared with third parties.

In the event of a voluntary Server closure, the Administrator undertakes to notify active Members with reasonable advance notice, allowing them to retrieve any game elements they wish to keep. Quadrilex shall not be liable for any loss of game data resulting from a closure without prior notice.

6. Account suspension and termination

You may close your Account at any time, at no cost and without giving a reason, by contacting Quadrilex at contact@quadrilex.com. Account closure results in the deletion of your personal data under the conditions set out in Article 3.2 of the Privacy Policy. If you are a Customer with an active Private Server, it must be cancelled prior to Account closure.

In the event of a breach of these Terms, Quadrilex reserves the right to suspend or delete your Account, temporarily or permanently. Where circumstances allow, you will be notified in advance so that you may provide an explanation. Quadrilex will decide, at its sole discretion, whether to maintain or lift the measure.

7. Personal data

In the course of your use of the Platform, Quadrilex collects and processes certain personal data. By registering, you accept this processing in accordance with the Privacy Policy.

8. Intellectual property

Quadrilex holds all intellectual property rights in the Platform, Investycoon, and their content (text, logos, graphics, data, software, databases), with the exception of Member Content.

Quadrilex grants you a non-exclusive, personal, non-transferable licence to use the Platform and the Services, for your personal and private use on a non-commercial basis.

Without prior written authorisation from Quadrilex, you are prohibited from:

• reproducing, modifying, adapting, distributing, or broadcasting the Platform, the Services, or their content;
• decompiling or reverse engineering the Platform or the Services, except as permitted by applicable law.

Content created by Members on the Platform (Company names and descriptions, news, messages, etc., hereinafter "Member Content") remains the property of its author. By publishing Member Content, you grant Quadrilex a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display that content in the context of the operation and promotion of the Platform, for the duration of the applicable rights.

9. Quadrilex's liability

Information published on the Platform is provided for informational purposes only and carries no contractual value. Quadrilex does not warrant its accuracy or completeness and shall not be liable for any use made of it.

Quadrilex implements appropriate technical measures to ensure Platform security, without being able to guarantee absolute security against all intrusions or failures.

Quadrilex shall not be liable for damages resulting from force majeure, an unforeseeable act of a third party, or improper use of the Platform by the User.

10. Platform availability

Quadrilex endeavours to keep the Platform accessible 7 days a week, 24 hours a day. Access may nevertheless be temporarily suspended, without notice, for maintenance, migration, updates, or in the event of a technical failure.

Quadrilex reserves the right to modify or discontinue, temporarily or permanently, all or part of the Platform or its features. In the event of a permanent discontinuation affecting an active Private Server, the Customers concerned will be informed with reasonable notice and refunded on a pro-rata basis for the unused period.

11. Amendments to these Terms

These Terms constitute the entire agreement between you and Quadrilex regarding your use of the Platform.

Quadrilex may amend these Terms to adapt to its environment or to comply with applicable regulations. Any material changes will be notified by email and/or via a notification on the Platform before taking effect. If you do not accept the updated Terms, you may close your Account before the effective date. Continued use of the Platform after that date constitutes acceptance of the updated Terms.

12. Consumer dispute resolution

In the event of a dispute that cannot be resolved after contacting Quadrilex directly, EU consumers may use the following free mediation services:

• EU Online Dispute Resolution platform — ec.europa.eu/consumers/odr

A mediation request must be submitted within one year of the written complaint sent to Quadrilex. Users outside the European Union should contact Quadrilex directly at contact@quadrilex.com.

13. Governing law and disputes

These Terms are governed by French law, without prejudice to any more protective provisions that a consumer may be entitled to under the mandatory law of their country of habitual residence.

In the event of a dispute that cannot be resolved amicably or through mediation, the French courts shall have jurisdiction, subject to mandatory consumer jurisdiction rules that may apply in the user's country of residence.
